British government signals support for Cobham takeover by private equity firm Advent

LONDON — The British government has signaled it will give the green light to a £4 billion (U.S. $5 billion) takeover that would see local defense contractor Cobham acquired by a U.S.-based private equity company.
Business Secretary Andrea Leadsom announced Nov. 19 that she was “minded to accept” the proposed takeover but would put out for public consultation assurances given by Advent International regarding British security concerns before making a final call.
Advent moved to buy Cobham in July securing the approval of 93 percent of shareholders in the Wimborne, southwest England-based contractor best known for its world leading role of air-to-air refueling technology.
Cobham's annual turnover of £1.86 billion took it to 57th place in the Defense News Top 100 companies listing earlier this year.
Over 50 percent of its revenues were generated in the United States where the company has substantial manufacturing facilities.
The British government intervened in the takeover in September following criticism led by Nadine Cobham, whose father-in-law formed the company in 1935. Members of Parliament also raised security concerns over the sale.
The government has spent the last few weeks reviewing the proposed acquisition ahead of Leadsom outlining the government's current position.
"Following my update to Parliament on 5. November, I have now reviewed further national security advice from the Ministry of Defence and met with both Cobham and Advent, who have offered legally binding undertakings designed to mitigate national security concerns, which I am minded to accept.”
"They will now be considered by a public consultation, and I will provide a further update once that process has concluded,” said Leadsom.
The consultation closes Dec. 17 – five days after the general election.
The assurances include Advent giving the MoD prior notice of plans to sell off parts or all of Cobham, agreeing to honor the terms of existing contracts. In addition, the new owners would have to ensure existing security arrangements are strengthened and maintain the ability to supply key services for five years.
Nadine Cobham has previously said assurances were not worth the paper they were written on.
Alex Ashbourne-Walmsley, a defense consultant at ASC here in London, said she thought Leadsom had taken the right decision on the Cobham sale.
“It's advisable for the government to respect the clear instructions of the Cobham shareholders. It is sensible, however, for government to build in conditions regarding any future sale of parts of the business. Private equity houses, unlike traditional industrial corporations, tend to take the shorter-term, more profit-driven view of disposal of their acquisitions, rather than considering matters such as national security of supply and the wider strategic interest,” she said.
Criticism over the proposed acquisition of an important part of the British defense industry follows the controversial takeover last year of GKN by Melrose, another private equity company.
Despite the furore over the Cobham sale the Financial Times said today the assurances sought by the government from Advent were weaker than those demanded to wave the GKN deal through.

Les start-up spécialisées dans la défense et la sécurité poussent tous azimuts

Qui a dit que la défense et la sécurité n'étaient plus un domaine d'innovations... Deux ans après le lancement de son accélérateur de start-up dans le domaine de la défense et de la sécurité (Generate), le Groupement des Industries Françaises de Défense et de Sécurité Terrestres et Aéroterrestres (GICAT) tire un bilan positif des deux premières promotions de start-up accompagnées. Sur les dix ayant intégré Generate dès le départ, cinq ont franchi un cap pour devenir les fameuses scale-up (ou TPE). Ce sont le cas d'Aleph Networks, qui explore le deep et le dark web, de CerbAir (lutte anti-drone), de Diodon (drones), d'Internest, qui améliore la sécurité des vols des drones et des hélicoptères et, enfin, de l'éditeur de logiciels Linkurious, qui fournit des analyses de réseaux sociaux. En revanche, Othello, qui a développé une approche scientifique du comportement humain, Numalis, qui analyse les logiciels pour détecter et corriger les vulnérabilités numériques, Physip, qui propose des solutions d'analyse automatique de l'activité cérébrale basées sur l'EEG (électroencéphalogramme) et Uniris, qui fournit des services inviolables d'authentification, vont rester une année supplémentaire au sein de Generate afin de d'essayer de passer le cap de start-up. Enfin, Sterblue, qui édite une solution de pilotage automatique adaptable à tous les drones du marché, va se consacrer aux marchés civils. Cette start-up nantaise, créée par des anciens d'Airbus, a réussi fin 2018 une première levée de fonds de 2 millions de dollars. 8 millions d'euros de levées En deux ans, 50% des start-up de Generate ont réussi à lever des fonds, nouer des partenariats industriels, remporter des contrats et se projeter à l'export. Ainsi, elles ont réussi à lever 8 millions d'euros de fonds auprès d'investisseurs publics, privés et notamment des Venture Capital d'industriels du GICAT. Elles ont réalisé un chiffre d'affaire de 4,8 millions d'euros et près d'une start-up sur deux est aujourd'hui présente à l'export et y remporte des marchés. Elles emploient aujourd'hui près d'une centaine de personnes, dont la moitié a été recrutée sur les deux dernières années. Enfin, elles ont remporté sept trophées et prix aussi bien dans la défense et la sécurité, mais également auprès d'organisme civil. Pour le GICAT, ces résultats confirment sa volonté de poursuivre le recrutement de nouvelles pépites, en développant son système de parrainage, en se faisant connaitre auprès d'investisseurs et en accompagnant nos partenaires institutionnels (Délégation générale de l'armement, Agence Innovation défense, Armées, Ministère de l'intérieur, etc.). Peraton to provide SATCOM for US Central Command
Nathan Strout Peraton will provide commercial satellite communications services for U.S. Central Command after receiving a new $56 million contract, the company announced June 18. Under the contract, which was awarded by the Space Force's Future Commercial SATCOM Acquisition program, Peraton will provide mission support for mobile platforms It will also provide bandwidth for mission operations, survivability, and diversification within the area of responsibility. “Peraton has served as a trusted solution partner to U.S. Central Command for over 10 years and is proud to continue providing satellite-based services tailored to their specific mission requirements,” said David Myers, president, Peraton Communications sector. “As a neutral technology agnostic mission capability integrator, Peraton takes great pride in developing solutions that leverage the best available spacecraft and network platforms from across the commercial satellite industry.” The $56 million contract for Central Command SATCOM services follows a $219 million contract awarded to Peraton earlier this year. Announced March 3, that five-year contract required the company to secure commercial satellite services for U.S. Africa Command and its mission partners in the region.
